Keper — Terms of Service
Version: draft-0 · Effective: [date of first publication]
1. Who we are and what these terms cover
Keper is operated by [legal entity name], [registered address]
("Keper", "we", "us"). Keper runs a business's public presence: its
website, its Google Business Profile, its social accounts, and the
answers AI assistants give about it. The work happens through
proposals: Keper drafts a change, and you (or your team) decide
whether it goes out.
These terms apply to everyone who uses Keper: the business owner who holds the account ("you"), and anyone you invite to your workspace. Using Keper means you accept these terms and our Privacy Policy.
2. Your account and signing in
- You sign in by email. Keper has no passwords. We send a sign-in link to your email address, and you can add a passkey as a second factor. So whoever controls your email controls your Keper account. Keep your email account secure: use a strong password and two-factor sign-in with your email provider.
- Approval links work for whoever holds them. The emails we send you contain one-click links to approve or decline Keper's proposals, with no further sign-in. That is on purpose: approving should take seconds. The cost is that anyone who has one of those emails can use its links. Don't forward approval emails. We are not responsible for approvals made through a link you shared, or through an email account that someone else got into.
- One business, one workspace. Each account starts with one workspace. We may raise that limit on request.
3. What Keper publishes, and who is responsible for it
- Keper publishes only what was approved. Keper publishes on your
behalf only:
- changes you or a team member approved, or
- kinds of changes you set to publish automatically (autopilot).
- Some changes always need your yes. Changes to prices, opening hours, contact details and policies are never published automatically, whatever your autopilot settings.
- Approved content is yours. Once you or your team approve it, published content is your content, published under your business's name. You are responsible for it being accurate and lawful. Keper drafts from the facts you gave us and cites them, but we can't check every fact against the real world.
- You can undo. You can restore an earlier version of your website from a restore point; the Privacy Policy (§6) says how long each kind is kept. Posts on third-party platforms can be removed where the platform allows it, but a removed post can't be brought back. Enquiries, messages and reviews are never touched by an undo or a restore — no customer contact is ever lost to one. And anything deleted directly on a platform, outside Keper, isn't Keper's to restore.
4. Your team
You can invite managers and viewers to your workspace. Managers can approve proposals. A manager's approval has the same effect as yours. You are responsible for whom you invite and for what they approve. You can remove a team member at any time.
5. When Keper staff access your workspace
Keper staff can enter a workspace only in these two situations:
- Before handover. When we build your workspace for you, our staff work in it until we hand it over.
- After handover, only when you ask. For example, when you ask for support.
Every staff visit after handover is time-limited, and every change made during it is recorded under the staff member's name.
6. Only public information goes into Keper
Keper serves your public audience: customers, search engines, social media and AI assistants. It is not a place for internal, staff or confidential information.
- Share only what is meant for the public. Give Keper only information you are happy for your customers and the public to see. Once you approve it, anything in Keper may be published.
- Keper is not an internal tool. It is not a staff handbook, a records system or a place to store documents.
- We may skip private material, but don't rely on it. If Keper spots something that looks private, it tries to skip it. That is a courtesy, not a guarantee. We are not responsible for private or confidential information that you upload and then approve for publication.
7. Content you give us
- You must be allowed to use it. When you upload files, or point Keper at web pages to import, you confirm that you own the content or have the right to use it.
- We don't take other people's content. Keper does not import other people's reviews or photos from listing sites.
- People in your photos. If a photo shows people who can be recognised, you confirm that you have their permission. Take special care with photos of children. When Keper spots faces, it asks you about them first. A photo whose people you haven't confirmed stays out of public use, and photos of children stay out of public use unless you say otherwise.
- Your design and your code. If you or your developer bring your own website design, the design and its code are yours. Keper supplies the facts and handles serving and publishing. Fixing the design's own code is your responsibility.
- Generated images. If you upload images or video made with other tools, you must have the right to use them. Keper labels generated images, and never presents one as a real photo of your business unless you confirm it is.
- Licence to us. You keep ownership of your content. You give Keper a licence to store, process, adapt and publish it, only to provide the service to you. That licence ends when your data is erased (section 9).
8. Plans, trials and payment
- Plans. Current plans and prices are on
[pricing page URL]. - How we're paid. We are currently paid by bank transfer or GCash. You tell us when you have paid, and we confirm it. Keper does not take or store card details.
- Workspaces we build for you. When Keper builds your workspace, your first payment is due at handover. Your subscription starts on the day of handover.
- Free trials. A self-serve free trial, when offered, lasts 15
days.
- During a trial you can connect Google Business Profile and Facebook, and Keper runs them normally. Your website is drafted and previewed, but it does not go live until you subscribe.
- If a trial ends without payment, nothing new is published, and Keper disconnects the accounts you connected during the trial.
- Refunds.
[refund policy — owner to decide] - Late payment.
[what happens when a payment is late: grace period, then pause — owner to decide]
9. Cancelling, and what happens to your data
- If you cancel:
- Keper keeps working until the end of the period you've paid for.
- After that, your website stays live but nothing new is published,
and you can download an exit package for 30 days. It contains:
- a working copy of your website,
- your business information in a structured, reusable format, with your photos, and
- a list of redirects for your old web addresses, if you moved to Keper from another site.
- When those 30 days end, we erase your workspace and its data.
- If a free trial lapses: you get the same 30-day download window and the same erasure.
- Reminders before erasure. We email you when your service ends, remind you on days 7, 14 and 21, and send a final warning 3 days before erasure. Every email includes your download link and the date your data will be erased.
- After erasure, we can't recover your data. Only our backups briefly retain it (see the Privacy Policy).
10. Security, and a compromised account
If you think someone else has got into your email or your Keper
account, contact us straight away at [support email]. To limit harm,
we may lock an account while we look into a suspected compromise.
While it is locked, we may stop publishing and hold changes. We will
tell you what we did and why.
Some dangerous actions are protected by extra checks that someone holding only your email can't pass. Examples are removing your team, disconnecting your accounts, and cancelling your plan. The checks include a second factor, delays, and notices to the rest of your team.
11. Emails we send
We send email about your workspace in five kinds:
- account: sign-in and security;
- customer waiting: someone outside your business is waiting for an answer;
- something broken: something has gone wrong, or is about to;
- decisions: proposals waiting for your approval;
- for your information: things that are nice to know and never urgent.
Each person on your team chooses which of these they receive, and related emails are combined, not sent one by one. Account and security emails can't be switched off, because they protect your account.
12. Support
- How to reach us:
[support email]. - Service status:
[status page URL]. - Response times: we are a small team. We aim to answer within
[support response target]. We answer security reports first.
13. Third-party platforms
Keper publishes to platforms we don't control, including Google, Facebook, Instagram and the others you connect. Their own terms apply to what you publish there. If a platform changes its rules, suspends an account or has an outage, some Keper features may stop working. We are not responsible for what a third-party platform does.
14. Acceptable use
Don't use Keper to:
- publish anything unlawful, deceptive, defamatory or infringing;
- impersonate a business you don't represent;
- send spam; or
- try to get around Keper's approval, security or usage limits.
We may pause or remove content, or suspend an account, that breaks these rules.
15. Liability
[Counsel to draft: warranty disclaimer, limitation of liability (for example, capped at fees paid in the previous [N] months), indemnity for content the owner approved, and force majeure.]
16. Changes to these terms
We may update these terms. We'll email you before a material change takes effect. If you keep using Keper after that, you accept the new terms. The version and date at the top of this page always identify the terms in force.
17. Governing law
These terms are governed by the laws of the Republic of the
Philippines. [Venue — counsel to confirm]
